SOCIVERSE STUDIOS MARKETING TERMS AND CONDITIONS

 By engaging Sociverse Studios or purchasing any of the social media management, marketing management packages or any other service from Sociverse Studios, you agree to the following terms and conditions:

• Prices listed on our website are in Australian dollars and are exclusive of GST.

• Invoices will be generated on the 1st of each month and are payable on the 15th of each month.

• All invoices for packages will be pro-rata in the event a client engages prior to the 1st of the month.

• All Social Media & Marketing Management monthly plans are for a commitment of 12 months (unless otherwise stated), in the event the client wishes to discontinue using Sociverse Studios services, 30 days notice must be provided and you will be charged for the balance of time on your contract. Any balances that are due MUST be paid within 24 hours of confirmation from Sociverse Studios and receipt of final account. Failure to do so will see your account forwarded to a debt collection agency and further charges may be incurred.

• Sociverse will set up your social media accounts, create content, and post on the agreed upon platforms for the package purchased. The number of posts per week is specified in the package details.

• All content created by Sociverse Studios will be in line with your brand's messaging and visual identity. The client will be responsible for providing Sociverse with their brand guide. In the event a brand guide is not developed or available, additional costs will be incurred by the client. This will be discussed at the time of consultation.

• All content and content planners, collateral and the like must be signed off by the client prior to publication or printing. Sociverse Studios is not liable for errors once a client has signed off and Sociverse Studios will NOT publish or send anything to print without a client sign off.

• Sociverse Studios will provide basic analytics reporting for the Bronze Package, more extensive analytics reporting for the Silver Package, and advanced analytics reporting for the Gold Package.

• Sociverse Studios reserves the right to refuse service to any client whose content or actions are deemed inappropriate or violate any laws or regulations. Furthermore to this point, in the event that the client and Sociverse Studios can no longer maintain a working relationship, at the instigation by Sociverse Studios only, the contract will be terminated and no further action/recoveries will be taken by Sociverse Studios.

• Warranty of Works: Sociverse Studios guarantees that all services will be performed in a professional and timely manner. However, Sociverse Studios does not warrant that the services will be error-free, uninterrupted, or without delays. The client agrees that the use of the services is at their own risk.

• Guarantee of Results: Sociverse Studios does not guarantee any specific results from its services. While we use best practices and proven techniques, we cannot control the behaviour of the target audience. We aim to attract engagement based on psychology and other tried and tested research methods, but we cannot guarantee any specific outcome.

• No Responsibility for Audience Engagement: While Sociverse Studios makes every effort to engage the target audience, we do not accept responsibility for audience engagement or lack thereof. We do not control the minds or thinking processes of customers, and engagement is dependent on a variety of factors beyond our control.

• Termination: All packages (social media or marketing) require a 12 month commitment between Sociverse Studios and the Client. In the event the client cancels the contract, they will be responsible for paying for the balance of term remaining on the contract. 30 days notice is also required by the client.

• Sociverse Studios, will issue a final invoice for the balance of term on the contract to the client within 24 hours of receipt of written cancellation. The final invoice must be paid within 24 hours.

• Confidentiality: Sociverse Studios agrees to maintain the confidentiality of all client information, including but not limited to social media passwords, analytics data, and customer data. We will not disclose any information to third parties without the client's prior written consent. A Non-Disclosure Agreement will be required to be entered into with Sociverse Studios and the client.

• Indemnification: The client agrees to indemnify and hold Sociverse Studios and its employees harmless from any and all claims, damages, losses, or expenses arising from the client's use of the social media management or marketing services.

• Governing Law: This agreement shall be governed by and construed in accordance with the laws of the state of Victoria and Commonwealth of Australia. Any disputes arising from this agreement shall be resolved through arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration.

By purchasing packages or services from Sociverse Studios, you acknowledge and accept these terms and conditions.
